The NDA (necessary, not sufficient)

Sign a mutual NDA before sharing detailed drawings or brand assets. It sets the legal baseline - but daily discipline matters more than the document.

Practical controls

  • Staged disclosure: share only what each phase needs
  • Drawing control: version numbers, watermarks, access lists
  • Sample control: numbered samples, no showroom display without permission
  • Packaging leftovers: extra printed boxes destroyed or returned - they reveal your program
  • Subcontractors: confidentiality must flow down to them in writing

Mold rights

If you pay for tooling, the agreement must state you own it - including storage, exclusivity and transfer rights. Unwritten mold ownership is the #1 IP dispute in OEM.
